The Company

CityView Energy Corporation Limited (CityView) has reinvented itself in the past few months.
 It has negotiated some exceptional deals that will totally transform the Company. Throughou
t 1999, CityView has built up a valuable oil and gas land position covering an area twice th
e size of the State of Rhode Island, USA. When it comes to profitability in both real estate
 and the oil industry, the key is location! It should be noted that CityView has that locati
on, with proven reserves in one of the richest hydrocarbon areas in the world.

CityView has secured a stable financial position through procuring a "free ride" on its enti
re energy portfolio. Over the next two years, CityView will be engaged in a major developmen
t program. This is a spectacular deal since a monetary amount in excess of $20 Million will 
be spent this fiscal year on these developmental areas at no cost whatsoever to CityView! Al
so, a similar amount will be spent the following year.

CityView is far stronger now, than it had been at the year's beginning. After clearing all i
ts outstanding debts associated with the Company's Indonesian Oilfields, the March 31, 2000 
Quarter has shown Balance Sheet figures of great strength. As well as being debt-free, CityV
iew has a Cash-in-Bank balance in excess of $2.7 Million and the accessibility of funds thro
ugh financing in an amount over $25 Million through London Partners Australia, as well as
 various Financial Institutions in the Arabian Gulf.

How has the above-stated transformation occurred? In January 2000 and against heavy competit
ion, CityView has succeeded in acquiring a strategic stake in one of Australia's oldest Busi
ness-to-Business (B2B) E-Commerce Companies, Sands Solutions Pty. Limited (Sandssol).

Sands Solutions Pty Limited (Sandssol) is the IT subsidiary of Sands & McDougall (est. 1853)
- Australia's leading office product supplier. Sands & McDougall has been involved in electr
onic trading since 1985 and pioneered B2B E-Commerce in Australia. The significance of Sands
sol is that it has a well-established client base and proven products which are easy to use 
and capable of being integrated into existing Financial Accounting Systems. Not only are the
 products proven, but they are also extremely cost-effective. Clients have made huge savings
 using these systems. ALCOA and Caterpillar are among the many examples of the different Com
panies that are using their Financial Accounting Systems.

In February 2000, the international accounting firm Price Waterhouse Coopers (one of the wor
ld's largest and oldest) agreed to jointly work with Sandssol on a number of Australian stra
tegic E-Business projects. Simultaneously, Microsoft appointed Sandssol as a Microsoft Certi
fied Solution Provider. Sandssol and CityView have now combined their financial operations i
nto one Main Office employing approximately twenty-five corporate executives.

Cityview has been negotiating a deal in relation to Sandssol. This deal includes an initial 
cash outlay of up to $12 Million to acquire up to a 40% interest of Sandssol, subject of cou
rse to regulatory approval, which the company is in the process of obtaining. Our observatio
ns of this “merger” is that it is very appealing; this is because all the funds 
will go into the Company's treasury, thereby increasing the book value of CityView. In addit
ion, further
 equity in Sandssol will be acquired over time as permitted by regulatory authorities.

Market Potential

CityView's associations in the Middle East, resulting from its oil operations background, ar
e one of the Company's best assets. Through these connections, an agreement has been signed 
in March 2000 for CityView/Sandssol to establish a B2B joint venture Company in the Dubai In
ternet City, the Middle East equivalent of The United States' Silicon Valley. Discussions ha
ve taken place with senior officials in both the private and Government sectors of the Gulf
 Cooperation Countries (GCC) marketplace. Keen interest has been expressed involving the Int
ernet, Intranet, and the Client/Server applications of Sandssol.

Business to Business (B2B)

Business to Business shares such as Commerce One or Ariba have been the most loved stocks on
 Wall Street until only a few weeks ago. Despite the recent sell-off, virtual websites are t
ransforming business; the revolution is still only in its infancy. B2B impacts companies at 
the very epicenter of the corporate sector by reducing costs. Gartner Group, one of the lead
ing Information Technology Consultants, has projected that B2B transactions originating in t
he
 United States alone, will command some $7,300,000,000,000 in Global revenues by the year 20
04. The appetite for B2B is spreading throughout the world like wild fire; strong demand is 
developing in Asia and the Middle East, which will be the focus of Sandssol's marketing. Eve
n in the Internet world, the age-old adage applies-"it's not always what you know that count
s, but who you know that counts." By combining Sandssol's established client base in Austral
ia
 with CityView's associations in Asia, especially in the Middle East, a very effective and s
ound foundation has been laid for Sandssol, CityView, and their applications.
